## 1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, content, messaging channels, and related services operated by Invest by World LLC ("Invest by World," "MBW," "we," "us," or "our"), doing business as Mark By World and related brands.

By accessing our websites, contacting us, messaging us on WhatsApp or other channels, purchasing services, subscribing to content, or otherwise using our services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

These Terms are written for reuse across our projects and platforms, including content and publishing tools (such as Pressmaster integrations), WhatsApp Business communications via the official Meta WhatsApp Cloud API, websites (including markby.world), email, and related professional services.

## 2. Who May Use Our Services

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services in a contractual capacity. If you use our services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You are responsible for ensuring that your use complies with all applicable laws, including communications, privacy, export, and consumer-protection laws.

## 3. Description of Services

We provide professional and digital services that may include, without limitation:

- Consulting, training, curriculum development, project management, events, marketing, and related professional services

- Content creation, publishing, and distribution (including via Pressmaster and other platforms)

- Websites, memberships, blogs, newsletters, and digital products

- Business messaging and customer communications via WhatsApp Business (Meta WhatsApp Cloud API), email, phone, and other channels

- Scheduling, forms, donations, invoicing, and related business tools offered through our sites

Features and availability may change. We may add, modify, or discontinue any part of the services at any time.

## 4. Accounts, Access, and Communications

### 4.1 Accounts and credentials

If you create an account or are given access credentials, you must provide accurate information, keep credentials confidential, and notify us promptly of unauthorized use. You are responsible for activity under your account.

### 4.2 Messaging and WhatsApp

If you message our WhatsApp Business number or opt in to receive messages:

- You consent to receive business-related messages, including service, transactional, and (where permitted and with appropriate consent) marketing or informational messages.

- Message frequency varies. Message and data rates may apply.

- You may opt out by replying STOP, UNSUBSCRIBE, or a similar clear request, or by contacting us.

- Opting out of marketing messages may not stop transactional or service messages related to an active relationship.

- WhatsApp is provided by Meta Platforms, Inc. Your use of WhatsApp is also subject to WhatsApp's and Meta's terms and policies.

### 4.3 Email and other channels

By providing an email address or other contact details, you consent to receive service-related communications. Marketing emails, where applicable, include unsubscribe options as required by law.

## 5. Purchases, Payments, and Refunds

### 5.1 Fees

Prices for products or services are as stated at the time of purchase or in a separate proposal, statement of work, invoice, or agreement. Fees may be one-time or recurring.

### 5.2 Payment

You agree to pay all amounts due using the payment methods we accept. You authorize us (and our payment processors) to charge your selected method for fees, taxes, and any agreed renewals.

### 5.3 Taxes

You are responsible for applicable taxes, except taxes based on our net income.

### 5.4 Refunds and cancellations

Refund and cancellation terms are as stated at checkout, in the applicable service agreement, or in project-specific terms. Unless expressly stated otherwise, professional services fees are non-refundable once work has begun. Digital products may be non-refundable after delivery where permitted by law.

### 5.5 Late payment

We may suspend services for overdue amounts and charge reasonable collection costs where allowed by law.

## 6. Acceptable Use

You agree not to, and not to attempt to:

- Use the services for unlawful, harmful, fraudulent, harassing, defamatory, or abusive purposes

- Send spam, unsolicited bulk messages, or messages that violate WhatsApp, Meta, carrier, or email anti-spam rules

- Impersonate any person or entity, or misrepresent your affiliation

- Interfere with or disrupt the services, servers, or networks

- Probe, scan, or test vulnerability of our systems without authorization

- Reverse engineer, scrape, or harvest data from our sites except as allowed by law or written permission

- Upload malware or harmful code

- Infringe intellectual property, privacy, or other rights of others

- Use our messaging channels to process or request sensitive personal data in violation of law or our policies

- Resell or commercially exploit our services without our prior written consent

We may investigate violations and suspend or terminate access.

## 7. Content and Intellectual Property

### 7.1 Our content

Unless otherwise stated, websites, branding, text, graphics, logos, software, templates, and other materials we provide are owned by Invest by World LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the services for their intended purpose.

### 7.2 Your content

You retain ownership of content you submit to us (messages, files, feedback, form responses, etc.). You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process that content solely as needed to provide and improve the services, comply with law, and as described in our Privacy Policy.

### 7.3 Feedback

If you provide feedback or suggestions, you grant us the right to use them without obligation or compensation.

### 7.4 Third-party content

Content from third parties (including Pressmaster-generated drafts you approve, social platforms, or partners) remains subject to those parties' rights and terms. We are not responsible for third-party content we do not control.

## 8. Artificial Intelligence and Automated Tools

We may use artificial intelligence and automation (including Pressmaster agents and similar tools) to create content, assist with responses, personalize communications, and operate workflows.

Important:

- AI outputs may be incomplete, inaccurate, or inappropriate. You should review AI-assisted content before relying on it for business, legal, medical, financial, or other high-stakes decisions.

- Your personal data and conversations are used only to provide the services you request, as described in our Privacy Policy.

- We do not sell your personal information.

- We do not use your data, conversations, or content to train, fine-tune, or improve frontier large language models or third-party foundation models.

## 9. Third-Party Services and Tools

Our services may integrate with or depend on third parties, including:

- Meta / WhatsApp Cloud API

- Pressmaster and other content platforms

- Hosting, cloud, analytics, email, payment, scheduling, and automation tools (for example, Zapier, Pipedream, or similar)

- Social networks and website platforms (including Squarespace)

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party outages, policy changes, account bans, message delivery failures, or data handling by third parties beyond our reasonable control. WhatsApp delivery, quality ratings, template approvals, and messaging limits are controlled by Meta/WhatsApp.

## 10. Privacy

Our collection and use of personal information is described in our Privacy Policy (available on our website). By using the services, you acknowledge that policy. For data deletion requests, follow the instructions in our Privacy Policy or Data Deletion page, or contact biz@markby.world.

## 11. Professional Services Disclaimer

Consulting, training, and related professional services are provided for general business and educational purposes. They do not constitute legal, medical, tax, investment, or other regulated professional advice unless we expressly agree in a signed engagement that says otherwise. You remain responsible for decisions you make based on our services.

## 12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, secure, error-free, or free of harmful components, or that content (including AI-assisted content) will be accurate or complete.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the fullest extent permitted.

## 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVEST BY WORLD LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

These limits do not apply where prohibited by law (for example, liability for fraud, willful misconduct, or certain personal injury claims).

## 14. Indemnification

You agree to defend, indemnify, and hold harmless Invest by World LLC and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the services; (b) your content; (c) your violation of these Terms or law; or (d) your violation of any third-party right.

## 15. Suspension and Termination

We may suspend or terminate your access immediately if you violate these Terms, if required by law or a platform partner (including Meta/WhatsApp), if your use creates risk or legal exposure, or if we discontinue the services. You may stop using the services at any time. Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms) will survive termination.

## 16. Changes to the Services or Terms

We may update these Terms from time to time. The "Last Updated" date will change when we do. Material changes may be communicated via our website, email, or other reasonable means. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the services.

## 17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.

Informal resolution first. Before filing a claim, you agree to contact us at biz@markby.world and attempt to resolve the dispute informally for 30 days.

Venue. Subject to applicable law, exclusive venue for disputes not resolved informally will be the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there.

Arbitration option / class actions. If we mutually agree in writing to arbitrate a specific dispute, arbitration will be administered under mutually agreed rules in Orange County, California. TO THE EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

Nothing in these Terms limits either party's right to seek injunctive or other equitable relief for intellectual property or unauthorized access claims.

## 18. Export and Sanctions

You may not use the services if you are barred under U.S. or other applicable export control or sanctions laws, or in any prohibited jurisdiction.

## 19. Miscellaneous

- Entire agreement. These Terms, the Privacy Policy, and any applicable order form or statement of work constitute the entire agreement regarding the services, unless a signed contract expressly supersedes them.

- Conflicts. If a signed client agreement conflicts with these Terms, the signed agreement controls for that engagement.

- Severability. If any provision is unenforceable, the remainder stays in effect.

- Waiver. Failure to enforce a provision is not a waiver.

- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.

- Notices. We may provide notices via website posting, email, or messaging to contact details you provide.

- No third-party beneficiaries. Except as expressly stated, these Terms do not create third-party beneficiary rights.

- Language. English controls if translations conflict.

- Headings. Headings are for convenience only.
